1. How to Enter: This giveaway ("Giveaway") begins at 8:00 a.m. CST on December 31, 2009 and ends at 11:59 p.m. CST on December 15th, 2010 ("Giveaway Period"). For purposes of this Giveaway, all times refer to Central Standard Time ("CST"). To enter, complete and thereafter submit a Giveaway entry form ("Entry") by going to www.petra.com/25k. All required Entry information must be completed in full. Limit one (1) Entry per Reseller (as defined below) per Promotion (as defined below). Entries by the same eligible Reseller in excess of the limits stated herein will be disqualified. Entries must be received by 11:59 p.m. CST on December 15th, 2010. If an entrant is a resident of a jurisdiction that deems him/her to be a minor, he/she is not allowed to submit an Entry. Proof of delivery or receipt of an Entry will not be deemed by Petra Industries, Inc. ("Sponsor") as proof of an Entry. Any attempted form of Entry other than as described herein is void.
2. Eligibility: The Giveaway is only open to legal residents of the United States of America, who are physically located within the 50 states and residing therein, who are 18 years of age or older as of December 31, 2009, who are acting as an authorized representative of a business entity that is engaged in the business of purchasing products on a wholesale basis for reselling to an end user and which has a federal employer identification number ("Reseller"). All Resellers will have the equal opportunity to submit an Entry for each promotion offered by Sponsor which will be extended to eligible Resellers via electronic mail to the electronic mail address provided in the Entry ("Promotion"). The Promotions include one (1) Grand Prize and three (3) Quarterly Promotional Prizes (defined below). Employees of Sponsor and their advertising or promotion agencies, those involved in the production, development, implementation or handling of the Giveaway, any agents acting for, or on behalf of the above entities, their respective parent companies, officers, directors, subsidiaries, affiliates, licensees, service providers, prize suppliers, any other person or entity associated with the Giveaway (collectively "Giveaway Entities") and/or members of their immediate families (spouses, children, siblings, parents) and/or persons living in the same household as such persons, whether or not related, are ineligible to enter the Giveaway.
3. Prizes/Odds of Winning: One (1) Grand Prize winner will receive one (1) payment of $25,000.00, plus airfare and hotel for two (2) nights' lodging at the 2011 Consumer Electronics Show in Las Vegas, Nevada ("CES"), where Sponsor will present the Grand Prize winner with the Grand Prize. The Grand Prize Winner must be present at CES 2011 to be eligible and receive the Grand Prize. Any other expenses not specified herein are the sole responsibility of the Grand Prize winner. Additionally, Sponsor will provide eligible Resellers via electronic mail to the electronic mail address provided on the eligible Reseller's Entry opportunities for additional Entries each fiscal calendar quarter ("Promotional") which include the following prizes for the First Quarter (deadline for submission of eligible Entries is 11:59 p.m. on March 31, 2010, with the drawing held April 1, 2010): one (1) Samsung BluRay Player valued at $200.00 retail; one (1) Xbox 360 120GB valued at $300.00 retail; one (1) 46" Samsung TV valued at $899.99 retail; and one (1) iPod Touch 32GB with case and headphones valued at $315.00 retail; the following prizes for the Second Quarter (deadline for submission of eligible Entries is 11:59 p.m. on June 30, 2010, with the drawing held July 1, 2010): one (1) Flip Camera valued at $200.00 retail; one (1) 46" Samsung TV valued at $899.99 retail; one (1) Coby Netbook with case valued at $315.00; one (1) iPad 16GB (WiFi Model) $499 retail value; and the following prizes for the Third Quarter (deadline for submission of eligible Entries is 11:59 p.m. on September 30, 2010, with the drawing held October 1, 2010): one (1) Digital Camera valued at $200.00 retail; one (1) Kindle valued at $259.00 retail; one (1) Playstation 3 120GB valued at $300.00 retail; and one (1) Samsung 32" TV valued at $649.99 retail ("Quarterly Promotional Prizes"). Sponsor is not responsible for changes of any component of the Quarterly Promotional Prizes. Any other expenses not specified herein are the sole responsibility of the Quarterly Promotional Prize winner. Limit one (1) Promotion Prize per eligible Entry per Reseller. If an Entry is selected to win a Quarterly Promotional Prize, that Entry is removed from eligibility for winning future Promotions, including the Grand Prize. Eligible Resellers will still have the opportunity to submit additional Entries pursuant to other Promotions, including the Grand Prize. Odds of winning a Prize (Grand or Quarterly Promotional) depend on the total number of eligible Entries received. A PURCHASE DOES NOT INCREASE OR IMPROVE YOUR CHANCE OF WINNING. No substitution, transfer or cash equivalent for a prize (or prize component), except that Sponsor, at its sole discretion, may substitute a Quarterly Promotional Prize of equal value due to prize unavailability for any reason. Prizes will be shipped within the 50 states of the U.S. and D.C. only; however, the Grand Prize Winner must be present at the 2011 CES to receive the Grand Prize. Any depictions of prizes are for illustrative purposes only. All federal, state, and other taxes are the sole responsibility of each prize winner and Sponsor will provide the prize winners with an IRS Form.
4. Drawing and Notification of Winners: Potential Grand Prize winners will be randomly selected via a random number generator selector from all eligible Entries received in a drawing held by December 16, 2010 by Sponsor's marketing department. Potential Quarterly Promotional winners will be randomly selected from all eligible Entries received in a drawing detailed above. Each potential winner will be notified by email or phone at the email address or phone number provided on the eligible Reseller's Entry. If a potential winner cannot be reached after a reasonable effort has been exerted, that eligible Reseller is found to be ineligible, cannot or does not comply with these Official Rules, or if a prize or prize notification is returned as undeliverable, such potential winner will be disqualified and an alternate potential winner will be selected at Sponsor's sole discretion.
5. General Conditions: This Giveaway is subject to these Official Rules and all federal, state and local laws and regulations (collectively "Rules and Laws"). Each potential winner will be required to execute, have notarized, and return an Affidavit of Eligibility, a Liability Release, a Publicity Release (where legal), and any other documentation that Giveaway Administrator and/or Sponsor may require (collectively "Affidavit/Releases"), within five (5) days after receipt or such potential winner may be disqualified and an alternate potential winner will be selected. By returning the completed Affidavit/Releases, such potential winner attests to the authenticity of the eligible Reseller's Entry. Once submitted, Entries become the sole property of Sponsor and will not be returned. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Giveaway; to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with this Giveaway will be ineligible to win a prize and will be prosecuted to the full extent of the law. If, for any reason, the Giveaway is not capable of running as originally planned, Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify the Giveaway and conduct the drawing from all eligible Entries received prior to and/or after (as appropriate) the action taken by Sponsor. Notice of such action will be posted on Sponsor's Web site. Sponsor will give possession of the Grand Prize to the authorized representative of the eligible Reseller listed on the Entry, even if the Entry has an individual's name with the eligible Reseller's name. Sponsor is not responsible for determining whether the Grand Prize belongs to any other person or entity other than the Reseller listed on the Entry. The Prize winners hereby release and agree to indemnify and hold harmless Sponsor from any claim or dispute (including costs and attorneys fees) arising from ownership of the Prizes as between the Reseller listed on the Entry and any other entity, company, employer, or individual. Sponsor reserves the right within its full discretion to amend these Official Rules, Terms and Conditions at any time without prior notice. These Official Rules in no way alter or modify the terms and conditions of sale for purchase of product from Petra Industries, Inc. To the extent these Official Rules conflict with the terms and conditions of sale for purchase of product from Petra Industries, Inc., the terms and conditions of sale for purchase of product from Petra Industries, Inc. control.
6. Disclaimers: Giveaway Entities are not responsible or liable for Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for Entries that are illegible, late, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, or otherwise not in compliance with these Official Rules and all such Entries will be disqualified. By entering the Giveaway, each entrant agrees and acknowledges to be bound by the Rules and Laws, as well as the decisions of Sponsor which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws, and that Giveaway Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in this Giveaway; use/misuse of a prize; all incidents surrounding acceptance of a prize; human error; incorrect or inaccurate transcription of Entry information; any technical malfunctions of the prize or system or location utilized by the Giveaway; interruption or inability to access the Giveaway, any damages to entrant related to or resulting from any part of this Giveaway; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of one of the Giveaway Entities. Entrants further agree to indemnify and hold harmless the Giveaway Entities from any and all liability resulting or arising from the Giveaway, to release all rights to bring any claim, action or proceeding against the Giveaway Entities, and hereby acknowledges that said Giveaway Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize except those warranties (if any) generally provided with the merchandise.
7. Privacy Policy: Sponsor's privacy policy with regard to any information an eligible Reseller provides for an Entry can be found at http://www.petra.com/privacy.
8. To Participate Without Making A Purchase: Mail a legibly handwritten, self-addressed, stamped envelope ("SASE") with sufficient postage and a return address (Company name, contact first and last name, street address, city, state, and zip or postal code) to: 25K Giveaway Free Entry Request, 2101 S. Kelly, Edmond, OK 73013. DO NOT SEND COMMENTS OR QUESTIONS TO THIS ADDRESS. Two (2) Entries will be mailed to eligible Entrants in response to each authorized request that complies with the requirements of the Official Rules. Mail-in requests, including both outer envelope and SASE, must be handwritten and must be postmarked no sooner than December 31, 2009 and must be postmarked by December 10, 2010 and received by Sponsor no later than December 15, 2010. Requests from Vermont ("VT") residents that are postmarked in VT may omit return postage.
9. Rules/Winners List: For a copy of these Official Rules or identification of the winner, send a self-addressed, stamped envelope to: Petra Industries, Inc. ATTN: Marketing "Winner List"/"Rules", 2101 S. Kelly, Edmond, OK 73013. All requests must be received by December 31st, 2010. The Official Rules will be accessible from the Sponsor's Web site during the Giveaway Period. The Winners' List may be posted there as well.
